All shipments are made F.O.B. Educan factory with freight charges collect.  Educan shall have the discretion to determine the method and route of shipment unless complete instructions are given by the Customer.  Prepaid common carrier shipment requires Educan's prior approval.  Title to goods passes to the Purchaser and Educan's responsibility ceases when shipment is accepted for transportation by the carrier.   If shipment is received in a damaged condition, note the damage on the carrier's freight bill.  Shipments should not be rejected.  Apparent damage must be noted on freight bill at time of delivery and concealed damage must be reported to the transportation company within five (5) days from date of delivery.  All damage claims must be filled with the delivering carrier.  All claims against Educan for defects, errors or shortages must be made in writing by the Customer within five (5) days after delivery.  Failure to make any claim against Educan within five (5) days shall constitute full acceptance of the merchandise and waiver of any defects, errors or shortages.
